This Privacy Policy applies to information collected through our websites and in connection with our real estate advisory and brokerage-related services.

It does not replace an applicable brokerage agreement, representation agreement, listing agreement, engagement agreement, Business Associate Agreement, nondisclosure agreement, purchase agreement, lease, or other written contract. If another applicable agreement contains different or more specific privacy or confidentiality requirements, that agreement will control with respect to the information it covers.

Our website forms and related communications may be processed using Pipedrive, SendGrid, and other providers that support customer relationship management, form processing, lead management, scheduling, and communications.

3. Broker Opinion of Value Information

KLAS offers Broker Opinions of Value for healthcare and dental real estate.

When you request a BOV, we may collect information including:

  • Your full name;
  • Email address;
  • Telephone number;
  • Property address;
  • Approximate square footage;
  • Type of business occupying the property;
  • Company or practice website;
  • Property ownership information;
  • Lease information;
  • Revenue or rent information relating to the property;
  • Building and improvement information;
  • Comparable property information; and
  • Other documentation required to prepare the valuation.

We may combine information you provide with information obtained from public records, commercial databases, comparable sales and leasing information, demographic sources, mapping services, market research, and other legitimate sources.

A Broker Opinion of Value is a commercial real estate analysis and is not necessarily the same as a formal appraisal.

4. Practice and Business Information

Because KLAS specializes in healthcare and dental real estate, our services may require information about the business occupying or considering a property.

We may collect:

  • Practice or company name;
  • Healthcare specialty;
  • Number of providers;
  • Number of employees;
  • Patient or customer volume in aggregate form;
  • Business hours;
  • Existing locations;
  • Growth plans;

  • Geographic service areas;

Some of this information may be confidential business information even when it does not identify an individual.

KLAS may use proprietary systems and third-party information sources to perform demographic, competitive, and market analyses.

These analyses may include information about:

  • Household income;
  • Age demographics;
  • Insurance or payer characteristics;
  • Traffic patterns;
  • Development trends;
  • Commercial property activity;

During a lease, purchase, sale, or other real estate transaction, we may receive or create:

7. Financial and Payment Information

When you purchase a Broker Opinion of Value or another paid service, Stripe may process payment and transaction information on our behalf.

Payment-related information may include:

  • Name;
  • Email address;
  • Billing address;
  • Payment-card or bank-account information;
  • Transaction amount;
  • Purchase date;
  • Service purchased;
  • Payment status;
  • Refund information;
  • Tax-related transaction information; and
  • Stripe customer, payment, or transaction identifiers.

Payment information is generally transmitted directly to Stripe.

KLAS does not intend to store complete payment-card numbers or card security codes on its own website servers.

Stripe processes payment information according to its own privacy policy, terms, and security practices.

8. Broker and Professional Network Information

KLAS provides healthcare and dental real estate services through licensed real estate professionals in jurisdictions where the applicable property is located.

Depending on your transaction and location, information may be shared with or received from:

  • Licensed real estate brokers;
  • Real estate agents;
  • Brokerage firms;
  • Landlords;
  • Property owners;

When KLAS represents a property owner or seller, information concerning the property may be marketed to prospective buyers, tenants, brokers, investors, or other interested parties.

Marketing may occur through:

  • Crexi;
  • Commercial real estate listing platforms;
  • KLAS websites;
  • KLAS buyer and professional networks;
  • Email;
  • Social media;
  • Digital advertising;
  • Printed marketing materials;
  • Broker networks; and
  • Other appropriate marketing channels.

Property marketing may include:

  • Property address;
  • Property photographs;
  • Property descriptions;
  • Asking price;
  • Lease terms;
  • Square footage;
  • Property features;
  • Demographic information;
  • Financial information appropriate for marketing;
  • Maps;
  • Floor plans;
  • Practice or tenant information when authorized; and
  • Other information appropriate to facilitate a transaction.

Confidential or sensitive information may be withheld until a prospective participant satisfies applicable qualification, confidentiality, or nondisclosure requirements.

10. Healthcare and Patient Information

KLAS provides real estate and business advisory services to healthcare, dental, veterinary, and other private-practice businesses.

KLAS does not provide healthcare treatment through its public website, and our public website is not intended to collect patient medical or dental records.

Do not submit patient names, dates of birth, treatment information, medical-record numbers, dental-record numbers, Social Security numbers, insurance identification numbers, clinical records, radiographs, photographs identifying patients, or other patient-level protected health information through a general website form, ordinary email, or other unsecured communication channel.

Real estate services generally do not require patient-level protected health information.

When information concerning practice activity is relevant to site selection or real estate analysis, KLAS generally seeks aggregate or de-identified information, such as:

  • Aggregate patient counts;
  • Geographic service areas;
  • Patient-density information;
  • Appointment volume;
  • Referral patterns;
  • Aggregate utilization information; and
  • Other statistical information.

Business Associate Agreements

If a particular KLAS engagement requires access to protected health information and KLAS qualifies as a business associate under HIPAA, KLAS will enter into a Business Associate Agreement with the applicable covered entity or business associate, as appropriate.

Protected health information received under a Business Associate Agreement will be handled according to:

  • The applicable Business Associate Agreement;
  • HIPAA and its implementing regulations, when applicable;
  • Applicable privacy, security, and breach-notification requirements; and
  • Other controlling written agreements.

If this Privacy Policy conflicts with an applicable Business Associate Agreement, the Business Associate Agreement will control with respect to the protected health information it covers.

11. Webinar, Meeting, Audio, and Video Information

Webinars, consultations, transaction meetings, and one-on-one meetings may be recorded to support:

  • Accurate follow-up;
  • Note-taking;
  • Documentation of recommendations or decisions;
  • Preparation of action items;
  • Training;
  • Quality assurance; and
  • Improvement of our services.

A recording may capture:

  • Your name;
  • Voice;
  • Image or likeness;
  • Screen-sharing content;
  • Chat messages;
  • Questions;
  • Presentation materials;

Participants who do not wish to be recorded should notify KLAS before the meeting or session begins so that appropriate arrangements can be considered.

Private meeting recordings will not ordinarily be used publicly as advertising, testimonials, or promotional materials without appropriate authorization.

KLAS Real Estate is part of the KLAS Solutions family of services.

We may disclose information among affiliated KLAS divisions when reasonably necessary to:

  • Respond to your request;
  • Coordinate services;
  • Manage a client relationship;
  • Provide integrated advisory services; or
  • Introduce you to another service that may be relevant to your stated needs.

Affiliated services may include:

  • KLAS Practice Transitions;
  • KLAS Dental Coaching;
  • KLAS Healthcare Coaching;

  • Other consulting or advisory services.

Protected health information will not be disclosed among divisions unless permitted by law and subject to any required Business Associate Agreement or other safeguards.

  • Meet real estate licensing or regulatory requirements;
  • Respond to subpoenas, court orders, or lawful governmental requests;
  • Protect our rights, property, security, clients, or others;

Business Transactions

16. Sale, Sharing, Targeted Advertising, and Remarketing

KLAS does not sell personal information in exchange for money.

However, our use of Google Analytics, Microsoft Clarity, Meta Pixel, Google Ads, remarketing technologies, advertising cookies, and similar technologies may be considered a “sale,” “sharing,” “targeted advertising,” or “cross-context behavioral advertising” under certain state privacy laws.

These technologies may allow providers to:

  • Receive browser, device, and website-activity information;
  • Associate activity with analytics or advertising identifiers;
  • Determine whether advertising resulted in a website visit or inquiry;
  • Create or measure advertising audiences;
  • Display KLAS advertising after a website visit; and

Where required by applicable law, we will provide a cookie banner or privacy-preference tool that allows users to reject or manage nonessential analytics and advertising technologies.

You may also request to opt out of applicable selling, sharing, or targeted advertising using the contact methods provided below.

We do not knowingly sell or share the personal information of individuals under 18.

Email providers may process information including:

  • Message-open information;
  • Link-click information;
  • IP address;
  • Device information; and
  • Similar engagement information.

You may unsubscribe from promotional emails by using the unsubscribe link contained in the message or by contacting us.

Opting out of promotional messages does not prevent us from sending administrative, contractual, transactional, security, brokerage, or service-related communications.

19. Text Messages and SMS Communications

KLAS does not currently use SMS as a regular marketing channel but may introduce SMS communications in the future.

Before beginning regular SMS marketing, KLAS intends to implement appropriate:

  • Consent language;
  • Opt-in procedures;
  • Recordkeeping;
  • Required disclosures; and
  • Opt-out procedures.

SMS may eventually be used for:

Consent to receive marketing text messages will not be a condition of purchasing services unless clearly disclosed and legally permitted.

20. Confidentiality of Real Estate and Practice Information

KLAS recognizes that real estate transactions involving healthcare and dental practices may include sensitive financial, operational, competitive, strategic, and property information.

We use reasonable administrative, contractual, technical, and physical measures intended to:

  • Restrict information access to authorized persons;
  • Limit use to legitimate business and transaction purposes;
  • Protect confidential property and financial information;
  • Protect practice information;
  • Control disclosure during transaction negotiations; and
  • Reduce the risk of unauthorized disclosure.

Certain property or transaction information may be subject to nondisclosure agreements, brokerage agreements, confidentiality provisions, or other contractual restrictions.

A statement that a website submission is confidential means KLAS will treat the information as confidential within its business operations. It does not mean that ordinary internet transmissions or email messages are guaranteed to be encrypted, legally privileged, or immune from unauthorized access.

21. Data Security

KLAS uses reasonable administrative, technical, and physical safeguards designed to protect personal, financial, property, and confidential business information.

These safeguards may include:

  • Password protection;
  • Multifactor authentication;
  • Encryption where appropriate;
  • Secure hosting and cloud providers;
  • Vendor-management practices;

No website, email system, internet transmission, storage platform, or security measure can guarantee absolute security.

Do not send protected health information, Social Security numbers, complete payment-card details, passwords, or similarly sensitive information through an ordinary website form or unencrypted email unless specifically instructed to do so.

  • Prepare Broker Opinions of Value;

  • Maintain accounting, tax, and transaction records;
  • Fulfill contractual requirements;

  • Protect against fraud or legal claims.

Retention periods vary depending on:

  • The type of information;
  • The nature of the transaction;
  • Applicable brokerage and licensing requirements;
  • Contractual obligations;
  • Legal requirements;
  • The sensitivity of the information; and
  • Legitimate business needs.

Meeting recordings will be retained only for as long as reasonably necessary for follow-up, documentation, training, quality assurance, or another disclosed purpose unless longer retention is required by law or agreement.

Protected health information will be retained and destroyed according to the applicable Business Associate Agreement and applicable law.

We may retain aggregated or de-identified information that no longer reasonably identifies an individual.

23. State Privacy Rights

Depending on your state of residence, your relationship with KLAS, and whether the applicable state privacy law applies to KLAS, you may have rights to:

  • Confirm whether we process your personal information;
  • Access certain personal information;
  • Correct inaccurate personal information;
  • Delete certain personal information;
  • Obtain certain information in a portable format;
  • Opt out of the sale of personal information;
  • Opt out of sharing for cross-context behavioral advertising;
  • Opt out of targeted advertising;
  • Opt out of certain profiling that produces legal or similarly significant effects;
  • Limit certain uses or disclosures of sensitive personal information;
  • Receive information concerning categories of personal information collected or disclosed; and
  • Appeal certain decisions concerning a privacy request.

24. California Privacy Notice

This section supplements the remainder of this Privacy Policy for California residents when the California Consumer Privacy Act, as amended by the California Privacy Rights Act, applies to KLAS.
